These Terms and Conditions of Use (the "Terms of Use") describe the terms and conditions applicable to your use of the Visiontree Software, Inc. ("Visiontree") Web sites. If you do not agree to be bound by these Terms of Use, you may not use or access the Web sites.
To use the Web sites, you must read, agree with and accept all of the terms and conditions contained in these Terms of Use and in the Visiontree Privacy Policy.

- Visiontree requires users of the Web sites to provide personal information, such as their name, street address, e-mail address, age, phone number to receive certain benefits or to participate in certain activities on the Web sites. It is a condition precedent to your use of the Web sites that you have read and agreed to the terms of the Privacy Policy.
- You are eligible for certain promotions that are offered and promoted by Visiontree via the Web sites. To be eligible for any promotion, you must have read and consented to the terms of the promotion rules.

- You agree to indemnify and hold Visiontree and its parents, subsidiaries, affiliates, officers, directors, agents, employees, representatives, and assigns harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms of Use (including the documents incorporated by reference), or your violation of any law or the rights of a third party.
- These Terms of Use shall be governed by and construed in accordance with California law and subject to the jurisdiction of California courts.
- If any provision of these Terms of Use is held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall be enforced. You agree that these Terms of Use and all incorporated agreements may be automatically assigned by Visiontree, in our sole discretion, to a third party in the event of a merger or acquisition. This Agreement sets forth the entire understanding and agreement between us with respect to its subject matter.
